Motherboard or Memory Problem?

I get a generic bsod when I try and install WinXP w/sp2. The windows installation gets to the point that it tries to detect components, always at 34 minutes, and then within 15-30 seconds always bsod's.

I'm using the latest bios, 1.3, and I've read that some have had problems with this memory for this board, but am not completely convinced that it is the memory or is a bad mobo, and would like to get some feedback before returning one or the other. I've also tried bios 'failsafe' settings.

Here's what I'm working with:

Amd64 3500+ (new)
Msi neo2 platinum (new)
Corsair value select 2x512mb
Fortran 530 psu
Matrox g450 agp

I'm assuming you kow that the RAM goes in either 1 & 2 or 3 & 4 slots to function dual channel.
Also set manual timings for your specefic memory and adjust voltage according to your mem. spec's
I'm using Corsair XMS3200XL 512 x2 without a hitch @ stock timings of 2-2-2-5-1t and 2.75v
 
I tried the memory suggestions, different timings and using one stick, but the results are the same, bsod's. I also tried disabling most of the onboard things just in case.

I ran memtest86 and got no memory errors after a few complete passes. I've found others on the corsair forum with issues with this mem/mobo combo, but none who could post but not install windows.

So its looking like the mobo is going to be rma'd.

 
There is a known compatability issue between the Matrox video cards and the MSI Neo Platinum socket 754 and 939 motherboards with the newer releases of the MSI bioses. For example, with the Neo Platinum MS-7030, any bios newer than 1.1 results in a BSOD on booting when the video driver is installed. For further info, refer to the MSI and Matrox forums.
