Ah, my bad. For some reason, I had mistaken #1 for an inverse of this one, but obviously, that whole alpha channel negates the fact it was ripped almost straight from the source images.
Listen, if you want to qualify for fair use, it's gonna take more than an inverse and (my bad) and ALPHA CHANNEL to do so. You're going to have to create original segments of the image, and use MUCH more of your own stuff than the original work.
Take this for example. Yes, it uses photographs of Keanu and Hugo. But ignoring the code, both images have had segments added to them, and there was a LOT of airbrushing to clean up the myriad artifacts from working from the low-res images.
On top of that, the code was created entirely from scratch, and I created the lettering using curves, also from scratch. If I felt like it, I could finish off the rest of the alphabet and publish a Matrix font.
So EVEN if I turned off the actual image layers, there'd still be the lettering, the code, and a lot of airbrushing in the general shape of Keanu and Hugo.
I respect the fact you're trying - That's really the hardest part. I remember when I was just starting out. My advice to you is work with non-copyrighted material.
I got my start doing crap for CS-Art - Some of my first pieces ever in photoshop can be found here. They're the ones by - you guessed it - Mach5. ;-)
I'm not saying what you're doing is crap, I'm just saying this:
1. Be careful with copyrighted material.
2. Start off working with non-copyrighted material, since that will give you MUCH more freedom to play around.
3. GET PERMISSION from the author of any material which is questionably copyrightable.
Hope this helps!
3. do you have WB's phone# so as i can get permission?

I don't think you get it. I'm not trying to be an ass here, I'm trying to give you some useful advice if you're interested in graphics design.
You DID make them available for public distro, by showing them on this site. That said, you MAY not have to get WB's permission.
Since you seem to want to do Matrix-based stuff, your best avenue is to go to a place populated by tons of Matrix fans - Undoubtedly, some of them will be graphics purveyors too. They'll be the ones most in the know about whether WB is a fan of fan art or if they want to see it crushed. And if you do choose to post your stuff there, you'll be posting alongside dozens of others - Hiding in plain sight, essentially.
Peace!
