What do you mean you do not have himem.sys or emm286.sys?You should not load them when you make a BIOS upgrade.Why dont you try to boot in safe mode command prompt only?
Browes the wIN2k CD and find a directory coold "bootdisk" then run the program bootdisk.exe and it will create 4 bootable floppy setup disks.
As others have hinted, you need a DOS/Win9x startup disk. AS Win2K is not based on DOS, there is NO WAY you can make such a disk with just Win2K files.
You can make an "Emergency repair disk" under Win2k which is a single floppy unlike the four floppies needed for installation.But I don't know what it boots you to.You can make one from Start->Programs->Accessories->System Tools->Backup->Create Emergency disk.
