making a small system

I trying to help my friend build a new system... wants to only spend $300 .. she wants something that will play dvd...

she got a 533 celery with a board with a bunch of integrated stuff... i originally put a dvd-rom and some memory (sdram pc100) 128 -> 256 but the dvd played terrible... and also tested my 256 stick of ram for 128.. so i have actually 384 but it only registars 256... so opt to get a new board...

unfortantely the case is a MINI ATX... and the power supply is 230 watt.. so things to upgrade are board (pc-100 preferablly), cpu, graphics card (if needed), PSU (if needed) doesn't matter if intel or amd... just trying to get close to the $300 range

i would prefer an integrated modem, network card, and sound

Grab yourself a Duron and an ECS K7S5A. The ECS board has onboard sound and LAN. It's only $57, and it supports either 2 sticks of DDR SDRAM or 2 sticks of SDR SDRAM. I'm not sure if it will work in a mATX case, but you can find out for yourself. 😉
