Looking for some advice

I given an offer today to take a new position (interviewed last week) at a new organization being an HR Manager. Lots of responsibility and challenges as they don't have an HR department. I'd be creating HR for the organization. The pay is significantly higher than what I currently make.

I went to speak to my boss today about the opportunity with the new organization. I was not looking for a counteroffer however I have a ton of respect for my boss and my current organization so I wanted to let her know that I'm going to accept the offer.

She counteroffered anyway. She's willing to match the job offer's pay and make me the department's HR Manager. We have better benefits and I feel confident in saying that I would have better job security. However, the challenges and responsibility are not nearly as high and great as the potential new job.

I haven't made my mind up yet, and I'm not looking for advice on which one I should choose.

What I'm looking for is advice if I DO stay at my current organization. What would be the best tactic to turn down the new job without appearing like I was doing it to simply get an offer to take back to my boss.

Personally, I would stay at your current company if the pay and benefits will be matched, so long as you are happy with the current work environment.

I am, for the most part.

However, I'm looking for advice on, if that's what I decide, how would be the best way to turn down the new job since I have shown that I've been rather interested. I haven't accepted or anything like that but...

Just be honest. You had no intention on seeking a counter-offer from your current employer so this should be easy.

"After receiving and carefully considering your offer for the position of HR Manager I went to tell my current employer that I was going to accept your position. Upon hearing that I was thinking of leaving the company he immediately made me an offer I could not refuse. My current employer has been very good to me in the past and therefore I am unable to accept the position you have offered. I apologize for any inconvenience this may have caused and I hope we can work together in the future."
