Looking for a microATX recommendation

Looking at upgrading one of our colocated servers. It's currently running an old Intel CA810e mainboard with a P3-650 and 512MB RAM. We'd really like to upgrade to 1GB but 512MB is the max for this mainboard. Rather than trying to find another s370 mainboard with more memory capacity, it probably makes sense to move to a new CPU also.

Here are the requirements:

1) This is a 2u rackmount box, so the mainboard needs to be microATX and it needs to have onboard LAN. The case does allow for 2 PCI cards mounted on risers but one of the case openings would correspond to the AGP/PCI-E slot on most mainboards so there's really only one available slot.

2) Since it's located in a NOC, stuff like USB and sound aren't a concern. Onboard video requirements are minimal...just console. Also, there are no plans to install SATA drives so plain UDMA IDE will be fine.

3) Our CPU requirements aren't massive. Our P3-650 bogged down from time to time but we definitely don't need an FX57-class CPU. I'm thinking something along the lines of a XP/Sempron 2500+ or maybe an A64 2800+ would be more than enough. A mobile chip would be nice because of presumably lower heat (remember, it's only a 2u case so there's not much room for cooling).

4) Most importantly, this is a freeBSD box so we need to make sure the onboard LAN and chipsets are supported. We're currently running fBSD 5.4 but we're willing to upgrade to 6 if necessary.

So....any suggestions?
