Primarily for music, and some gaming. But I tend not to care about 3D sound for gaming, I play things like starcraft and diablo2 :)

I'm going to get a set of MidiLand S4-8200s I think.

I have a Hollywood Plus, I'm going to run Coax from it to the 8200s for Dolby Digital. Then I want to run an Optical from my sound card to the 8200s for just stereo (PCM) output.

I also hope to use the analog out on the soundcard for a set of headphones, so being able to mute the analog output when the digital is on would be nice.

I'm thinking Yamaha 754 maybe, but I don't know any particular sound cards based on that chipset...

Edit: Also if you are using a Digital (Optical) output, can you output signals that are attached to the sound cards analog inputs (CD Rom 4pin inputs I mean, my TV-tuner is attached to one).

I'm pretty sure a quality opti-I/O card will allow for hardware mixing of inputs to the output.

Hoontech has a product which seems to fit the bill for you, though it's geared towards more professional apps. It's kinda pricey, and the optical I/O board is MSRP $50 extra, but they advertise excellent Win2000 support.
