Overall it looks like a solid build.
Here's some alternate options to save some extra cash, if you really want.
-E2180 + Tuniq Tower + Overclock for $140 (after shipping). It definitely won't perform as well as the E8400, but would still give great performance in most cases unless you're running extremely demanding games on maximum settings.
-Corsair 420vx PSU for $69.99 AR http://www.newegg.com/Product/...x?Item=N82E16817139003
The CPU/HSF combo will save you around $80, and the PSU will save you $20, and yes the 420 watts will be enough.
