IWILL kk266r & XP1600+ & Win XP shutdown stop errors

Hi all,
I was hoping someone could help me.

I have an IWILL KK266R and a XP1600+ running windows XP.
Everything is running fine, latest bios and optimal bios option selected(or is it performance can;t remember).

The only drama i'm having is when i shutdown or reboot. Every now and then it does the ususal shutdown operations and then i get a bsod stop error.

Some of the stop errors are:

1.
STOP:0x0000007E(..........)
i8042prt.sys - address FCA8996

2. portcls.sys i didn't write down the memory addresses

Anyone experience these or know what the problem could be ?

WOW I dont even get that far with a 1900+. I get the STOP error in the very unusual case that I can even get to the desktop. It mostly hangs after BIOS. And I've tried all of the goofy things too.
