Is this a worthy upgrade?

My current rig:

msi kt33 mobo
512mb of pc2700 (generic stuff, simpletech)
xp 2100+, non-throughbred

Im thinking about upgrading to:

Epox 8RDA+ nforce2 mobo
512mb of corsair XMS pc2700
athlon xp 2400+

Im also picking up a new heatsink (volcano 9), so the total cost, with shipping is 434$. Worth it?

If you're a gamer I would look into a new video card before any of those upgrades you listed.
