Is my CPU working?

I just finished assembling a new computer system (parts listed below), and when I turn it on with everything plugged in or with the video card and ethernet card removed, the fans turn on but nothing happens. Is it because the CPU doesn't work? It does the same thing without the CPU (I did run the CPU for a few seconds without the heatsink).
Thanks in advance...
btw, to answer a question: the top of the core is not brown, I thought there was just a bit of discoloration before I put on the silicone compound but it could be me...

Parts:
Motherboard: Asus A7M266
CPU: Athlon 1.2GHz 266
Heatsink: Thermaltake Super Orb (had it installed at future shop today because I can't get it on)
RAM: 256MB 2.5CL unbuffered non-parity PC2100 Crucial in slot 1
Video: Hercules 3D Prophet II Pro 64 AGP
Sound: soundblaster live value OEM
Ethernet: SMC 10Mbps Ethernet card
HD: Maxtor 46.1GB 7200RPM DiamondMax
CD: Asus 50x DDST
PS: Enermax 350W P4/Athlon certified

Uh oh. I'm assuming that was prior to taking it to future shop. T-bird's crisp in what 7 seconds without a HSF.
