I may have the chance to upgrade my video card from 9800PRO to 6800 128MB ( ASUS )for only 180$CAN (150U$). I know their's a great difference in performance ( I play at 10x7, so no need for more vram ).

The Question is: will I see a good performance boost since my cpu is not the fastest on the block...AthlonXP 2500 OC at 2170mhz?

Every Benchmark I see on anand and other site are using top CPU to compare video card...that's why i ask.

Probably not worth it right now, considering the resolution you play at, and the current crop of games. And you'll be CPU limited.

Ok, and if I were to upgrade my cpu for an AMD64 3200+

And yes..HL2 is really all that matters.( Espcialy when you can get the Collector's edition for only 55U$ :) )

If you upgrade your CPU, then you will see some bigger gains. HL2 will be noticably improved, allowing some higher AA/AF settings if you must keep the 10x7 res.

The price for the upgrade isn't that great though, but maybe Canadian prices are different. New 9800s go for $180 here, used ones for $150, and new 6800s are $280. So $150 to upgrade is about par here in the US.
