is it just stuff left over from when i upgraded to SP1 or do i need it now that it is installed? can i delete this folder without it causing problems, its about 250mb big

run SFC /scannow once to make sure your files haven't been altered. Then go ahead and delete it. Should a system file get altered at some point WFP will kick in to fix it. Without that folder it will be a bit of a pain in the @ss but not show-stopping.

Keep in mind that some hardware and some Windows components that were updated with the service pack reside in that directory. Since Windows XP keeps on disk a copy of nearly all the stock drivers it ships with, should you install said hardware or software at a later date, Windows may complain at you to provide it with the correct disk/files, at which point you're screwed.
