Internal laptop modem only works when PCMCIA NIC is inserted. Why is this?

This is an annoyance as I would like to dial into the internet and use my cd-rom at the same time. I can't do this because that would mean removing the pcmcia network card (to insert the cd-rom card) and for some reason the modem will not work without the network card in the computer. I tried re-installing drivers, dialup networking, etc... Nothing works. Doesn't even matter if the network card is disabled in device manager, the modem still works fine as long as the nic is in the computer. Take it out and I get a message that the modem in not responding. If I go to the control panel and do a diagnostic, it tells me that a port is open. Please help!
