Intel DX58SO - Hung at BIOS start-up

I have experienced many varieties of boot issues in the last 10 years (about 30mb's and about 50 cpu?s) but always managed to find culprits (aggressive bios settings, incompatibilities, short , etc - it is amazing I never had any major problems like corrupted bios, dead MB, cpu, memory ...). Well there is always the first time.

Long story short:

Mildly overcooked DX58SO / i7-920 / 6gb ocz ddr-3 was running fine in the past 2 months..

Turn off the pc for a few minutes (did not change anything at all)

Turn it back on, the cpu fan spins up and the HDD lights flaseh (both normal) but it simply refuse to continue - fan keeps spinning and I have a blank screen.

Tried all tricks: - booting up in maintenance mode, use bios recovery, clear CMOS by removing all power, battery and have it sit overnight.....

I removed all components except cpu and video card and 1 stick of memory (note: mb would sound 3 beeps when there is no memory, which is normal), it still has the same problem. Tried a different PSU and it is the same. The whole system is still undergoing testing so it is not in a box yet.

---> I am about ready to give up. I cannot get RMA since this is not a retail-boxed mb

---> The main question is: Since the fan spins up, this should not be a dead cpu? Correct? I have never had a dead cpu before so I am not sure.

---> Any suggestions on what I should try?
I have had this system for a little over 2 months now. Finally got it to be stable (in my mind, anyway - 100hr of 2 different types of Prime 95 tests)

BIOS version 3828 flashed 1 month ago through windows (was going to flash to 4014 bios but have not even started the process yet).
i7-920 (c0-c1 stepping) running at blck170 x 21 Turbo on HT off
2gbx3 OCZ OCZ3P1600LV6GK running at 1.58v 7 7 7 20 8x170
vcore 1.385 in bios (1.336 in cpuz upon boot up)
uncore 1.325v running at 18 multiplier
Spire TherMax II SP679S1-PCI (Temp at extreme conditions is about 76c)

I occasionally had this problem on cold boot. But it always come up after I shut off the power and turn it back on. And it only happens when I am running at memory multiplied 8 and BCL at 160 and above. I always thought my OCZ memory is the problem.

Because of this problem, I was going to change the memory multiplier to 6 before (a) flash to a recent bios and (b) reinstall windows 7 with the beta drivers from Intel....

Anyway, any suggestion will be appreciated.
