I needed my warranty when my motherboard went bad. The motherboard maker tried to blame it on the CPU. It's both peace of mind and a headache saver.
 
Well I will give you the exclusion of a heatsink as a reason to complain about however the warranty is not worth much on CPUs. Unless you improperly install them, they will last forever.

Heatsinks cost another $10 + shipping usually so I'd agree that OEM CPUs should cost $20+ less. Because they are only a few dollars cheaper usually, I have always bought retail CPUs except on the systems that I plan on using a third party heatsink.
