Installing heat sink {QUERY}

I've got this AMD 64 3200+ (skt 939) CPU...

I need to know how to install the heat sink.. Can someone explain??

Should the thermal compound go directly above the processor?
Should there be direct contact between the heatsink and the CPU.. (shown in pic ...) I really don't think so.

So, should I have another face plate in between ?
 
From the pics you posted it looks like you have an Intel socket 478 heatsink/fan. Your MB is an AMD socket 939, right? I would pay a visit to your local computer parts store and get a socket 939 fan and heatsink. HTH
