Important memory question for new computer!

I'm in the process of building my new comp and I need to know something fast.

I'm building a new system based around an Athlon 300+ venice socket 939 and a DFI NF4 LanParty UT mobo.

Yesterday I bought OCZ 1GB dual channel PC3200 RAM at Fry's. I walked out with it for $100, which was kinda an ok price, but it has a $35 mail-in rebate that I have to send in by 6/14. I only bought it cause of the MIR.

Now my question is, is this OCZ valueram going to play nice with the DFI board? I plan on overclocking this system to it's limits, so if it's not going to play nice with the DFI board at overclocked speeds I need to return it. So what do you guys think?

If this memory is not gonna hack it, can you guys point me in the right direction? I'm trying to keep the RAM price tag at around $100.

is the gold vx ram? that works really well. basically, most ocz work well with the dfi board. you should be fine. gold vx value would be the best to get.
 
doubtful its the value vx...your not gonna get much of an overclock out of that memory. you'll be running a divider, and if thats ok with you, then it'll be ok with your memory.
 
On my current system, I'm running a 200mhz FSB with DDR400 operating at 400mhz, is there a big difference between 400mhz and 433mhz?
