i7 System Powers off After Power On

I built a new 2.93GHz I7 940 system with a Gigabyte GA-EX58-UD3R board. When I press the power button, the processor fan and power supply fan come on for 5 seconds, then it powers off again. After a few more seconds it powers on again in a cycle. I only have the processor, memory, and video card connected with the power switch. I tried using each memory module by itself but the same thing happens. Any ideas?

try a different psu or different single stick of memory in various slots.
