I think it's my mobo...

I'm probably going to RMA my mobo (NF7-S 2.0) no matter what but I wanted to see if anyone has experienced this problem before...
It started when I noticed that my mem (3200) was constantly being recongnized as 333 during POST. The only way it would see it as ddr400 was when I oc'd it to 200fsb. That was cool with me till i got sparadic reboots so I backed it down to 333 again. It still sees it as 333. Now my biggest problem is that my pc never shuts down properly. It always fires itself back up. The led fans dim and slow down like they're going to shut off but they always come back up and so does everything else. I tried a batch file to force shutdown, made no difference. I also tried a few different bios flashes that haven't made any difference. This has been going on for a few months. Would've rma'd sooner but I was studying online for my CCNA test. Now that I passed (hell yeah), I want to fix this before I start my CCNP studying. I don't have much for spare parts to swap, so I'm kinda stuck right now. If anyone has any thoughts, I'd much appreciate them.
Thanks

Edit - I should also mention that sometimes during post the cpu is identified as a 1100 mhz cpu and I get the message that my cpu has been changed or is unworkable. I go to my bios and restore optimized defaults and it boots fine again. This doesn't happen very often and when it does nothing is overclocked to begin with.

Maybe the RAM timings are set too aggressively for 200MHz. Have you run memtest86 for 10+ error free passes with those settings? The rebooting seems to me like something isn't configured properly in power management, have tried playing with those settings? Also anything else installed that's not listed in your sig?
