I need some help upgrading

Ok, so I want to get a 8800GT to replace my 6600gt. The thing is that my CPU would most likely bottleneck the hell out of it (AMD 3400). Is there any benefit in upgrading my CPU if I only have a 939 socket? Or should I just get rid of the motherboard completely? I'm not looking to spend a lot of money. If I got a new motherboard, would my PC3200 RAM be compatible with the new motherboard? Sorry for all the questions, Im just really confused

I'm mainly upgrading just so I can play CoD4 and WiC on high settings, or somewhat high anyways...
 
Don't know how many peripherals you have but the 8800 should work just fine. Your CPU should not be a major bottleneck and you can transfer your GPU when you are ready to get a newer machine.
