That board is built for DDR400 (PC3200) memory modules, so I suspect that your PC2700 memory modules are contributing to the problem. It could also be insufficient power from the power supply, or poor-quality power from a poor-quality power supply... what power supply do you have?

Update: after reading the manual, I think I was wrong about needing PC3200 memory modules... it appears that it can run an 800MHz-based CPU with PC2100 or PC2700. The manual does mention that installing Service Pack 1 for WindowsXP is recommended... if you haven't done that yet, it sounds like an easy thing to try :)

You may want to FLASH the BIOS with the latest update
if you haven't done so already.

P4C800 Deluxe BIOS v1006

While it is not specfic to WinXP, there is a issue with ATI 9700
video cards becoming unstable under Win2k (see no reason why it wouldn't apply here)
Enabling HyperThreading probably just makes the issue worse.

First be sure that you flashed the BIOS using the P4C81006.exe file and not any of the BIOS update procedures as recommended on the download site.

If you are running standard change it to manual and set it as follows:
200fsb
ratio=320 (5:4 really)

You should be able to leave the rest at default.

It sounds to me like your BIOS may be picking up your memory timings
to be Auto=400 which may not happen for your PC2700 (DDR333).
