I need help installing new CPU/MB

Put together my new PC tongiht and I can't get it work here's the deal:

CPU Intel P4 3.0 LGA775 Retail /w stock HSF
ABIT AS8 MB
2X256 PC3200 Infineon RAM
ATI Radeon X800 PRO AGP 8X
Western Digital S-ATA 80GIG HD
LG 52X32X52 CDRW
350W PSU

As soon as we hit the power button the PC speaker is beeping like a maniac, right now though everything seems fine, it detects the CPU ok, checked temps in the bios cpu is at 52C, (Right after boot-up). The system now will go all the way through to start loading windows xp before it crashes with a blue screen and says something like check memory caches.
Anyway the board has shown a variety of numbers, usually ending in 1A, previously upon first installing we kept getting the error 90. We are at an ends and have no clue what to do, I have a feeling it may have something to do with my RAM settings, the bios is detecting them to be in dual channel at 400mhz and 2.6v.
We have re-set the C-MOS and reinstalled CPU Heatsink many times, We are looking for any ideas and help, please PLEASE PLEASE help me!!!! I don't know what I am going to do!!!!!

Just for clarification as soon as I hit power the speaker starts beeping, but it will go right through and detect all IDE decvies, cd-rom, and HD, as well as say the ram is dual channel, and the processor is an Intel P4 with HT.

I pulled the Motherboard out of the case and booted it up that way and the same thing happened.

When i strip it down to just CPU and RAM it is still doing it.

Have you counted the number of beeps or is it just constant. Sometimes you can match the beeps to a certain error. Are you using a 20 pin mobo power cable or 24 pin?

It is just continuous beeps
It is a 20pin power connector,
OK NOW I am mad

I changed the jumper from disabled to enabled on the motherboard for PS2, AND THE BEEPING STOPPED!!!!

BUT I tried to install windows and got a blue screen crash!!!!!!!!

Went into the bios and changed some ram stuff and the beeping started now i reset CMOS and it is still beeping
UGH!!!!!!!!!!

Ok I have made some progress it turns out the beeping was going on because the Northbridge fan monitor was not reading an RPM on the Northbridge fan, even though it was working, I turned that off and instantly the beeping is gone!!!!!!!

However this does not explain why windows crashed earlier does it?
