HTPC MicroATX board recommendation needed!!!

Im planning to build an HTPC around a MicroATX case and I need a good board recommendation. Budget is as always an issue. Im looking for a decent microAtx board that will....
* have a decent 3-d capable integrated video solution with a S-Video based TV-out or no integrated video at all(I will use AIW PCI radeon in its place)....
* have integrated decent audio w/SPDIF out(for my receiver) or no audio at all(I will a SPDIF-out capable audio card).
* have 3 PCI slots.
* Preferrable be one of the smaller MicroAtx boards...
* I dont care if its an Intel or AMD based solution, but it has to go over 1GHZ....The case I got has 145 watt PS, so, Im not going to put a P4 or XP 1800 in it, but 1.1-1.4 ghz would be nice(preferrable new Celly or a Duron...)

Any suggestions guys?
