How to write a web design project proposal?

I was talking to a potential client, and she asked for a written proposal. I'm not quite sure where to start... are there any web sites that have some good examples?

I know the Microsoft Office website has some sample proposal templates. Not sure if they would work.

List assumptions, scope of work, sizing, potential training, handling updates, etc.

They probably just need something tangible to take back to the boss. If you're a freelancer, you don't have to have a certain cookie-cutter template... just make it look professional enough and the content will handle the rest.
