Look it's simple format a floppy in the format options screen just check the system disk option then you'll have plenty of space for your flash utility and bios update, As you've already noticed a windows boot disk wont leave you enough room.
Use the bios flash utility recomended/and downloadable from your motherboard manufacturer look at the "how to flash a bios"section and write down the syntax.

You'll be fine dont sweat it the only time you'd need to dl a bootdisk is if you where running win2k/xp

use old dos way:
go to dos prompt,
format a:/s - if the disc is unformated.
or format a:/s/q - if the disc has content before.

Actually, WinME still has a system disk utility, they just buried it.

I'm doing this from memory, so I may not get the exact words correct, but:

1. Open Control Panel
2. Open System
3. On one of the four tabs, I think it's the last one, is an option to make a Restore or Rescue disk (something like that).
4. Create one.

It adds a couple of utilities, but you should still be able to add your flash utility, your new bios, and a backup of your old bios.

Not quite what you asked, but I made a bootable CDROM and installed the DOS tools on it. Now I don't even need a floppy drive!
