HELP - problem with new mobo

I recently purchased an Asus A7V133+C (no RAID) motherboard to replace an Iwill KK266 Plus because I was having an annoying problem on a cold boot with the Iwill. I would get three beeps - one long, two short and the computer would not load. I would get the "monitor working - check cables" screen. If I hit "reset", the computer would boot fine. I contacted Iwill, ATI, and Powercolor as well as posting messages with no resolution. So, I installed the Asus motherboard, formatted my hard drives, and attempted to install Windows XP. During XP setup, however, I received the following error message:

I rebooted and went through setup 5 times before XP finally loaded. Within a few hours, I began receiving error messages in Windows like the following:

The instruction at "XXXXXXXXX" referenced memory at "XXXXXXXXX". The memory could not be "written". (or "read")
- where "XXXXXXXXX" is a number combination similar to the "error code" above.

The second error occurred quite frequently and would usually make me have to shut down internet explorer or whatever application I was using at the time.

Other weird things began happening. One odd example is when I would do a search in Yahoo, I could not go past the first 20 hits or search from the first search results page. If I tried, I would get a "Page Unavailable" screen. This had never happened before. I also began receiving "Windows has recovered from a serious error" boxes when I would attempt to start various applications and when I would restart the computer. This also occurred frequently.

I searched all over the net for a solution to no avail. Every component had the latest drivers. The motherboard also appeared to have the latest BIOS (1009). I could not locate anything out of place or incorrect in the BIOS settings and I tried various settings as well. I tried a second fresh harddrive install of XP after taking the computer apart and reseating all components and cables. Again the first error above occurred, but this time I could not get past it. I simply could not load XP. All my other computer components worked fine before I installed the Asus. I went to a different motherboard (an Iwill) and have had no problems. None of the above errors have occurred, including the fact that I can now navigate Yahoo fine. I have done no overclocking and I have two sticks of PC133 Crucial SDRAM so I cannot imagine that is the problem.

I am trying to get the company (Package2You) to at least exchange the board for a second one. If it happens with the second board as well then I am basically out $60 (unless the company is nice and takes it back for a 15% restocking fee).

If anyone has any suggestions that would be great!
 
Enermax 430W Quiet PSU. I ran a couple memtest programs. Memtest86 3.0 came up with some errors. The weird part is the computer works fine with the Iwill mobo.
 
I should have clarified. The computer does not have any memory errors with the old mobo. Yes, it does not work perfectly. Sorry.
