Help! PC suddenly died...

Got home today to find out that my pc box was running with the door closed to the hutch that it sits in (courtesy of the cleaning lady). Intial CPU temp was around 68C (amd 2200+) The os appeared a bit unstable so I rebooted it and posted but could not load windows. I shut down the computer and let it cool off for five minutes. Now just get black screen, no signal, no beeps...and it doesn't sound like the hard drives are loading the os. Is this this a fried cpu and or mobo?
 
68C should not be enough to damage the cpu I have had it spike higher than that for very short times when a fan failed and it did no real damage. How long was it like this?
 
Perhaps a few hours. The screen was not frozen, but Nero did not see my cd burner so I re-booted...
First got through the Bios and the bios of my scsi card and stopped at the DMA screen. Reset, resulted in no signal to monitor and no beeps. Just a black screen. I opened up the box and pulled out the cmos battery for aboutr 10 minutes and reinstalled it. Still, no go. There is power to the pci cards and fans, but nothing happens.
