Help needed with new MB and CPU

I just installed an athlon 64 system. I kept getting 8 beeps right after I turned the power on and once in a while. According to by motherboard manual it means "Display memory read/write failure" I never had this problem before with my old athlon xp system. There's also these very long beeps that's coming out. I now found out that when every this beep happens the cpu fan stops spinning. REally scared me. According to the manual the long beeps means "DRAM error".
Also, when I inserted a geforce 4 into the slot the agp2x light lit up. But that wasn't an agp 2x card.

And how come the motherboard overclocked my cpu by 200mhz?

Gigabyte GA K8NS Ultra 939
512mb pc400 ram(had to take out 2 slices because MB doesn't support 3 slices)
Geforce 6800 GT Evga
Athlon 64 3200+

i heard that this board has some problems.
updating the bios maybe a solution.?

but firstly think about returing your motherboard get new one

It's from monarch computers and it's supposed to be tested as a combo with the cpu. And the already flashed the bios.

The motherboard's agp2x light lit up when I inserted a geforce 4 which is an 8x card.

If a motherboard reports something where should it use to report? Is it a speaker on it self or the computer's frontal speaker that looks like a little nugget?

I cleared the CMOS by taking out the battery as gigabyte told me to do. And there are no more problems. But when I changed the bios settings and saved them to the CMOS the beeps came back again. What's the problem?

And How do I disable the motherboard intelligent tweaker function? It overclocks my cpu and video card, I don't want that.

Just some fan settings and Turned auto detect into agp8x. Not much else.
