Help!! Memtest86 stalling on me

I've been using the computer fine...no problems, but then I decided to run Memtest86 to test the memory just in case before giving the computer to my family (who don't know anything about computers).

So I run Memtest86 3.1 and it stalls on the second test. I tried running each test separately and some of them are fine, but it stalls on others. I also tried Memtest86 3.0. Same problem.

what does it mean when memtest86 stalls on me? i run it and it stalls after certain tests and i have to do a hard restart (power button). I'm using it on a P4-2.4GHz, with 256MB DDR. Any clues what this might mean?

Oh, and I've tried Memtest86+ 1.20 as well. Does this mean my memory is bad? Everything is being run at stock. It's a Gateway machine.
