Help Guys/Gals, locking system!

OK here is whats going on:

I am upgrading a friends system, it is a HP 8495 (Asus P2B-VE,P3 550, Slot 1, On board video)

I disabled on-board video on M/B and put in Geforce 2 MX, boots up no problem. Whenever initializing Half-Life (Open-GL) it freezes.
So I said you know what, your system is bogged down with too much crap and running on Win98, let me upgrade it to Win2k and clean this thing up (clean install). After formatting and reinstalling into Win2k Pro, the damn thing not only freezes while in the desktop doing nothing, does it in Half-Life as well...

ANy ideas here guys ? I have worked on this system for 8 hours and nothing, I am going to try a different/no sound card, take out all cards - the basic process of elimination, but I am pretty concerned considering Win2k is ever so stable and this thing is locking up in the desktop.

Could I have missed something as far as settings?

Oh ya I did update Bios... Thanks all for any input!
