Will a Thermalright SLK-800(U) fit in an Asus P4P800 (non-deluxe) motherboard and work with a P4 2.8 533fsb CPU?

Also, is this HS or the Swiftech MCX4000 better? The MCX is out of stock on SVC today and they both cost the same so I wanted to know. Anyone have personal experience with these heatsinks? Thanks.
