Is the NB fanned? If not just get a chipset fan, it will only set you a couple of bucks...

My P3 with the optical mouse also stays on after the power is turned off, I think it's just the mobo still supplying power to the usb port, or thereis still some leftover from the psu...

Some motherboards have an option to turn on the PC by USB or by mouse/keyboard. If you turn that option off, your mouse shouldn't turn on when the PC is off.

video card?
memory?

Normal FSB is 133cpu/133memory since it's a 266Mhz cpu. You can try 133/166

Was this hard drive clean before you installed the mobo\CPU? if not backup and format, watch your problems disappear (well, that is if nothing else gets screwed up during the install/config).

It's normal for the mouse led to stay on after you turn off the computer, moist newer motherboards, are like this for whatever odd reason. How hot is the northbridge getting? I have a 8rda+ and with the passive cooler on it, it stayed under 95 degrees F, and with my coolermaster copper chipset hsf, it never hits 90..

North bridges are starting to get alot hotter than they used to so they should be coming with fans on them.
You can put a fan on the heat sink if you want or just direct an 80mm case fan over the NB. Most newer boards
either have them, or the revisions have the active cooling. It should be ok without, but I would probably point at
least a case fan over the sink.

I wouldn't say it has anything to do with your "version" of xp.
Does it have the lines and everything with a different monitor or video card?
Are you using onboard video now?
Have you tried switching out the ram?
It might be the mobo. Try putting some air on the NB sink and see if that helps stablize it.
