Gigabyte GA-K8NF-9 motherboard question

I just got the Gigbyte GA-K8NF-9 motherboard for an AMD64 3000+ computer that I will be be building. I bought the board from Space Center Systems (good communications and very fast shipping) by UPS today. Before I opened the bag I noticed that the nForce4 Chip set had a large passive heatsink instead of the fan/heatsink combo shown in the manual and every other picture on the internet.

My question is will the passive heatsink be sufficient enough to keep the nForce4 chipset cool? I plan to have 3 or 4 case fans installed and use rounded cables rather that the ribbon cables to help air flow. I would just by an aftermarket fan and heatsink, but the review that I have read mentioned that the video card rests uncomfortably close to the top of the OEM fan. An after market wouldn't fit.

I may overclock the AMD 64 3000 alittle bit but nothing to brag about. This is my first computer build so naturally I have concerns. Any information would be appreciated!
 
As long as you have good case airflow a big passive heatsink on the Nforce chipset should be fine.

That's what I was hoping to hear! I really do not wish to return the Motherboard.
