Let me know what you think as I'm getting ready to dump a bunch of $$$.

Here is what I'm getting:

ABIT 875P Chipset Motherboard for Intel Socket 478 CPU, Model "IC7-Max3" -RETAIL
Intel Pentium 4/ 2.8C GHz 800MHz FSB, 512K Cache, Hyper Threading Technology - Retail
Geil Golden Dragon Dual Channel Kit 184 Pin 1GB(512MBx2) DDR PC-4000 - Retail Cas Latency: 2.5 7-4-4
ATI AIW RADEON 9800PRO Video Card, 128MB DDR, 256-bit, DVI/CATV/VIVO, 8X AGP -RETAIL
Cooler Master Aero 4 CPU Cooler for Socket 478,Model:ISB-V73.
Allied TRUE 450W Power Supply AL-B450EATX w/ Two Fans ***AMD APPROVED good to 2200+ *** UL, CSA, FCC Approved

See anything that should be replaced?

Also, should I go with the retail CPU or the OEM seeing how I'm buying a Cooler Master Aero 4 Heatsink?

all looks well.

go retail for the extra warrenty
i would also look into zalman CNPS7000 and thermalright slk900/947

also, how much u payin for the ram?

i use the platinum pc4000, my rig is very similar to yours 2.8C/IS7/pc4000. i must say i am quite happy with it, it will boot all the way up to 275 mhz and pass memtest. its $289 for the 1 gb kit @ newegg

Didn't see that one, what's the difference between the two?

I have several CPU fans from various heatsinks and one coming with the processor. Can I just use one of these?

Probably not, unless they are larger than 60x60mm. The 947 can use 70mm (rare), 80mm(case fan), or 92mm fans. Your retail Intel heatsink uses a 70mm fan, but I'm not sure if it's possible to use it seperate from the heatsink itself.
