Getting BSOD at bootup-Gigabyte EP45-UD3P

This is a new build of a 64-bit desktop with the following config:

OS = Windows 2008R2
Motherboard = Gigabyte EP45-UD3P Rev.1.6 BIOs ver. FB
Video Card = EVGA 512 Geforce 9400GT
CPU = Intel Core 2 Quad Q9400 2.66Ghz
Memory = G-skill 8gigs (2x2) 240-pin DDR2 1066 (pc2 8500)Dram dual channel kit
DVD Burners = 2- LG DVD Burner -Sata GH22NS50
Hard drives = 2- 640gb 7200rpm WD Caviar SATA/3.0gb
Power Supply = Cooler Master CM Silent Pro 600W

This is a test server for learning at home. It does not run all the time. VT is enabled on the bios. I am running Microsoft Hyper-V and have created a virtual machine for Sharepoint Server 2007.
I am getting a bugcheck error 0x00000050 at bootup and once up an running everything is ok until the next time.

Any ideas or suggestions as to why this is happening will be greatly appreciated.

I have the latest bios for FB.

FB is the BIOS version, the motherboard version is 1.6

You don't need DOS on a USB flash drive, all you need is the extracted BIOS on a flash drive formatted in fat32/16. Then press <END> at boot up to enter QFLASH utility.
