Fried Chip or Motherboard or Both?

I overclocked my core 2 duo to what i thought was conservative. I had my E6300 at 2.73ghz and coretemp was showing about 41-44 degrees C under load using an ASUS silent square for cooling. It ran fine for the past several days. But all of the sudden the entire computer just shuts off on me.

I try to turn it back on, but it just turns on for maybe half a second then shuts off. The motherboard light is still on, doesn't seem like the motherboard. I'm thinking it's the chip that eventually fried? Also, my asus motherboard auto overclocked the ram too. I'm thinking it was around 791mhz. Might be that also?

C2D e6300
4gigs corsair DDR2-5300
Asus P5k-E P35 MB

Any expertise to the symptoms of a fried chip would be appreciated.

What you describe is the symptom that usually happens with a bad/overloaded power supply. What power supply are you using, and what video card?

I tried taking out all the ram but it still does the same thing. Turns on for litterally maybe half a second. Fan Lights all turn on. But then dies. Doesn't even give the chance for the hard drives to turn on.

I'm using a cheap 420W Apower power supply i bought about 2 years ago. Could be actually be dead by now? Any other way to check that, i don't have any other power supplies in the house over 130w.

I'm also using a PNY Geforce 7900gs.
