Do these mobos have room for an XP120?

Does the DFI LanParty UT NF3 250GB Socket 754 and/or the ASUS K8N-E Deluxe have room to fit a Thermalright XP-120 inside a CoolerMaster Praetorian case? If not, what is an alternative comparable to this heatsink?

Also, if I'm on a 1000-1500 budget for a new AMD based box should I go with 754 or 939?
I'm looking for overclocking potential either way with air cooling.

So far these are the specs I'm looking at besides which AMD platform to take

CoolerMaster Praetorian
Ultra X-Connect 500Watt
OCZ 1gb PC3200 Platinum Rev2
W/D 200gb SATA
BFG 6800GT OC
SB Audigy 2 ZS Platinum

If I go 754 which proc has best oc potential below 3400+ ?
If I go 939 I've read that the 3000+ and 3500+ have best potential/price.

I am running an Asus P4C800-E with a 3.0E Prescott at 250FSB at 1:1 with OCZ LTD Edition Platinum PC3200 ( Love this Ram)

After running my P4 3.2 on the Asus P4C800-e deluxe on its OEM HS and fan, I am looking for a better setup that cools better and is quiter. I like to OC in the future so I was wondering 1st, has anyone been able to install the 120 on this MB or would you all think the 90 be okay? Thanks

I'd say 939. Not as much support and options as 754, but I think in the long haul, it will be a better choice down the line?

I believe the XP-120 fits on the P4C800-E. Although I think the XP-90 is almost as good. I would go for the XP-90.

The 939 pin chips support dual channel memory while the 754 pin chips do not. The 939 pin chips replace the older 940 pin chips in AMD's product line (except for the Opteron/server chips). If you have the cabbage for a 939 pin chip, and want to use more than two 512MB sticks of DDR400, and have them addressed as such, get the 939 pin chip. If you're not going to use more than 1GB of memory for the time you have the system, then it's a coin toss.

I'm, currently, running with the 754 pin processor. That's only because the 939 pin chips were not out when I picked up the processor and mobo. Personally, I'll ONLY use MSI mobo's when at all possible (often very possible). I've had bad luck with both Asus and DFI before, so I won't use them again. I've had mostly good luck with Giga-Byte boards, but MSI beats them when it comes to reviews. In fact, MSI is steadily kicking the other boards asses when it comes to reviews. It's another reason I decided to give them a try when I did. That's a choice I don't regret in the least.

Just because a manufacturer approves a motherboard doesn't mean that it couldn't be such a tight fit that one would not even want to bother risking the possibility of breaking something. For instance, the K8NSNXP-939 board is considered "Okay" on the site; however, I've heard of many people mentioning that the DPS gets in the way. Besides that, you need to replace the plastic backplate with a metal one, which can be a pain.

With that budget and requirement, you should get S939, with a 90nm A64. All S754 A64's are 130nm.

 
I strongly suggest you do not get the X-connect if you are going to get the Praetorian. The Modstream does work fine though.
the modular connections will be hindered by the dumb PSU cage in the Praetorian (same as in my Wavemaster)
