Do I have to reinstall WinXP after upgrading a processor?

I am thinking of upgrading,if I still can use my installation of winxp. Price difference(after my old cpu is sold) is about $100. Will the speed difference be worth it?
 
You will not have to reinstall windows for a cpu upgrade, especially going from a dual-core to dual-core. The only question i have is what reason are you upgrading the cpu? For gaming or other?

If it's for gaming, let us know what video card you have first, but if it's for making your system faster for business applications or encoding, then it might be worth the jump.
