The board of Pixar Animation Studios, the digital animations company, is set to meet tomorrow to approve the company's $7bn (£3.9bn) takeover by Disney.

The all-share deal will make Steve Jobs, the chief executive of Apple, around $3.5bn and the single largest shareholder in Disney. Jobs created Pixar in 1986 when he paid $10m for the computer animations division of Lucasfilm, owned by Stars Wars creator George Lucas.

Disney has struggled to compete with its rival's cutting-edge computer animated films, which have become increasingly sophisticated over the past few years.

Disney already has a distribution agreement with Pixar, which is due to expire in June. Pixar's summer blockbuster is a film called Cars, while its previous hits include A Bug's Life, Finding Nemo, Monsters, Inc, Toy Story and The Incredibles.

Disney's first computer--generated film, Chicken Little, was released in the US in November and currently has worldwide box office sales of $279m.

But the giant entertainment company has failed to produce a hit animated film of its own in years. By contrast, the six films that Pixar and Disney have made together since the 1995 release of Toy Story have grossed more than $3.2bn.

Despite the impending takeover of Pixar, Robert Iger, the chief executive of Disney, pledged in November that "animation is, and will remain, at the heart and soul of Disney".

Nope. Almost no premium. Stock will go down due to arbitrage unless the market thinks another bidder will emerge.

Jobs played his cards right last year by rejecting Disney's low distribution redeal.

This is good news to anyone who likes Disney. Disney animation stinks compared to Pixar. Jobs refused to deal with Eisner so Eisner stepping down was the best thing that could have happened to Disney.

I'm going to love watching what Pixar and Disney do with their new roles...Jobs is just that much closer to taking over the world :p

let me get this straight... $7b purchase on a company that's had a total gross of $3.2b in the past 10 years? that's gonna be a heck of a wait for a return on investment.

1 billion in cash in the bank.

6 film successes.

Renderman software, did you enjoy Lord of the Rings. Renderman was used to do much of the special effects.

to name a few.

Yup, at least Disney is sort of smart by going all stock route. Trading one worthless stock for another. :D

its more than just about 3.2B! It's about rebuilding Disney brand name and image and it's stock with a sucessful streak of films which will show up in reciepts from amusment parks to merhandising of toys, books, games, tshirts and so on.. This is cheap if Pixar continues to produce like they have, Already the copyrighted works Disney gained for past pixar works should begin to show.

Actually, Disney already owned the rights to all past Pixar movies. That's part of the leverage Disney had for the deal. Disney was working on Toy Story 3 without Pixar. Now Lasseter will return to do Toy Story 3.
