DirectX 8.1 / Direct3D / Win2k Problem

Hey, I just put together a new machine with Win2K & a MSI Geforce 4 4400, and installed DirectX 8.1. I installed the MSI drivers, then the new SpiderMan Movie game. Didn't work - the screen cut to black, then immediately back to my desktop. I (eventually) ran dxdiag, specifically, the Direct3D test, and I got the following:
Direct3D test results: Failure at step 8 (Creating 3D Device): HRESULT = 0x887602eb (error code)

The screen flickered to black for a moment, then back to the test.
I tried installing the newest NVidia reference drivers, to no avail.

Go to the Direct 3d button that says enable/disable and try enabling it. Its under the tab display. I had the same problem and this cured it for me. Your not overclocking are you? Thats what caused this to happen on my comp.

Man you're awesome...that's the exact problem I had but after toggling the Disable button, I realized that it (direct3d) was turned off before. thanks!
