They're probably very similar under the covers, but the advertised feature set is very different.
The wireless router is something like a "base station" -- it provides the path to the Internet, and a wireless access point for all the wireless clients to connect to.
The "Ethernet Converter" is a wireless client mode bridge -- it works as a wireless client of the main wireless router / access point, and then shares that wireless connection to all the locally wired clients. In other words, if have one or more devices with wired ports in a location where you can't easily run a wire to from the main router, you can connect them wirelessly using such a device.
So the two devices typically work together as a team, and one doesn't replace the other.
(However, the WHR-HP-G54 can do everything that the WLI-TX4-G54HP can when it's configured with third-party firmware like DD-WRT which enables that client mode bridging functionality. It can also do more than the WLI-TX4-G54HP can do out of the box. As a further kicker, it is possible to flash the WLI-TX4-G54HP with third-party firmware, and enable some of the functionality it doesn't have out of the box, but does have as potential because of the similar underlying hardware. However, all this is in the deep end, and I think I should say that if you didn't understand the difference between the two differences in the first place, you should probably stay away from mucking around at this level and risking "bricking" your devices.)
