DELL Win 2000 Lag problems

Hi All,
i'm experiencing this 'lag' problem with my DELL Dimension 4100
it originally came with Windows SE, which worked fine.. i then upgraded it to Win2k and thats when the problems showed up.
Everytime theres some data transfer over the net, like i'm loading a website, or i'm transfering a file over to the other computer in my room, the DELL pc will keep jerking ... as in.. it keeps pausing...as if it has insufficient memory or cpu too slow.. which is highly unlikely coz theres 256 ram (1 strip of kingston) and its a P3-800 .
It agitates me coz if theres any sound playing in the background (mp3s) , it will jerk as well... this happens when i'm playing Online games too (Diablo 2) , it also jerks regularly .. anyone knows whats the problem ?
 
Ohh man I had this lag also with win2000. Dang I can't remember what I did though to fix it. I think it was with the network setting on the network card. Can't remember exactly what. If you have a network card, try putting in dummy ip address's in the network card tcp/ip setting?
