What kinda BS is that? You need to re-register,doesnt mean you have to buy a new OS.

The OEM Key sticker on the machine is bound via OEM - In this case Dell. You can do upgrades like video, HD, Memory.... but a mother board changout will make the key useless.

You can't order a set of factory recovery CD's and install them on a MoBo swapout either as they just won't work - (They will look for the Machine type model from Dell and Bios signature).

It;s MS licensing for you... The OEM (Dell, HP, IBM, etc) key is bound to the life of the hardware. Large corporate customers ask me all the time why they have to pay for a volume (enterprise) license when they get one with the machine....... MS rules consider the volume license an upgrade on top of the OEM provided license, not a complete license.
 
A little off topic but...

If I upgrade my CPU on my dell unit do you think I'll run into XP problems??

If I have to buy a new version of XP then I might as well get a new machine. I am looking at a CPU upgrade as a cheap ($100) way of getting about a 30% speed boost.

^what he said. Re-image the system to factory stock and liquidate it, then get what you really want.
