Custom case for oc'ed Celeron 333 @ 416, cooling question

I'm gonna build a case myself for a web-server. As I wanna use my old Celeron-rig (ATX) but don't need the ISA slots I'm gonna build a small case with the psu beside the isa-slot to make it smaller.
As it's gonna be on all the time I want it to be silent, and I think of using 2 12db/19.4cfm fans for cooling. One in the side of the case beside the cpu blowing onto the heatsink (thus no need for the small 50mm fan that's on it now) and the other instead of the fan in the psu (220W) sucking the air out. I think this setup shold be enough to keep it cool and running stable, any comments?

I run some old slow Celerons myself. The 333 Slot 1 we have in a server is OC'd to 450 (90X5) on a Asus P3V4X with nothing special in the way of cooling except that I slathered some Arctic Silver between it and a cheapo HSF the last time I had it off of the board. I believe the Intel temp rating on it is 85C so you probably don't need to hack up your case unless you just want to for grins. Ours just runs and runs with no locks. Wish I could get it to 500MHz but then I would probably need to cut some holes too.

I don't want to hack up a case, the case the Celeron were in is being used for another system (a Duron 1Ghz on an ECS K7S5A) so I need another case and I thought "why not build one of plexi myself?" As I'm building the case myself I can make it exactly like I want.
I know that it won't need extra cooling, I just thought I I could get by with a 19.4 cfm fan as intake and another in the psu as exhaust and no fan on teh cpu-heatsink. I've dropped that idea though, I'm just gonna let the fan on the hsf and in the an that already is there psu stay as it's not that noisy and the plexi will probably dampen the sound. Plus it's gonna be on the floor of another room so I won't be able to hear it anyway.
