honestly, in your case, you should wait for AM2. That 6800GS is going to hold up for a while on most new games that come out.

Opteron 165 - do you really need a dual-core?
7900GT - still expensive as of now. wait for next generation.
1 GB of OCZ - hardly considered an upgrade from what you have right now.
Asus mobo - if not SLi, why bother?
Antec P180 - good case, you can get this right now if you find your old case unsatisfying
good choice of HS + fan combo
PSU - sounds good

overall, i think the upgrade would be a waste of money. sure the video card is going to be a huge improvement but the amount of money you'll be spending won't be worth the improvement.

The 7900s just came out! You're going to be waiting at least a few months for a new gen i would think... and then you'll want to wait for the next gen after that. Might as well get something you can use NOW.

As for the mobo, i personally would go with DFI, although the A8N32 isn't bad.

As for waiting for AM2... when's that going to come out? 2 more months? Can you wait that long? And i doubt there's going to be a significant improvement over current 939s at release... you'll only be 'futureproofing' the motherboard for future CPU upgrades, but personally, everytime i've done a CPU upgrade, i've also done a motherboard upgrade.

2GB is the standard right now. Newer games such as FEAR eat RAM like I can devour two Burger King Double Whoppers.
As for mobo, you should still wait for AM-2. In fact, you shouldn't even upgrade the RAM yet. Socket AM-2 will utilize DDR-2, so hold your horses.

Now's a bad time to upgrade. That 6800GS should be able to handle any game out. Mine does... Wait till AM2 comes out and they tweak any bugs and whatnot.

This is a very good base system. However i would tweak a few things, get 2GB of Value ram.... (it can be OCZ value even, but dont spend $200+ on some enthusiast ram unless you need the extra speed or want to play around with overclocking)

The mobo is good, but overkill, get the Asus SLi premium, it has passive cooling and is an excellent board. The dual x16 slots on the board you picked out do nothing for performance.

7900GT is the best card for the money right now, good choice $300 for better than 7800GTX performance cant be beat. Case and power supply are nice.

Some of the good boards:
Epox 9 ultra (i can't remember the full description)
DFI lanparty (there's a single card board and it's pretty good)
A8N - E (Asus fanboy here)
A8R-MVP (it's a crossfire board, but cheap and overclocks rather well)

RAM:
You can use dividers with A64s, it doesn't hurt performance at all. As such the best bang for buck is with value RAM. Overclocking RAM is nice, but very uneconomical. What RAM you pick depends somewhat on which motherboard you go for.

ultra d isnt as good as the lanparty expert.

for overclocking, the A8R-MVP is the best. 322mhz fsb at t1 was passed on thies board by anand. all the other boards near that are running t2. you give up sli for that though(crossifre only motherboard). Maybe a A8N Sli Premium then? save some bucks since the extra bandwith isnt needed and if you want sli.

so save some $$$ on the motherboard and get 1 gig of value ram and oc with a divider.

DFI do very good overclocking boards, but the BIOS is supposed to be complex in the extreme and rather confusing, also they have a chipset fan that i'm not a fan of (it you're not a noise freak then ignore this point ;)), finally the boards are very picky in terms of RAM and a few other bits (like seasonic PSUs).

If you get one and are willing to spend a significant amount of time learning how to get the best out of it, and take the time to research which parts will work then you'll be very happy with it. For a less "exciting" experience the Epox is a good bet too.

Christ! You really do want 2GB of ram with that budget, also get a different PSU, save some $ on a 450W fortron or shell out a few more to get an enermax liberty 400W.

I would suggest eVGA 7900gt for single card that are better and cheaper than 7800gtx! For RAM, its depend what motherboard you got.

If you really need a system now, just get your stuff, as they are good choices...your mobo is a bit much unless you really want to utilize SLI at full 16x, which quite honestly isnt all that better than dual 8x (but i wouldnt mind having that mobo  ). The premium and deluxe from Asus are good choices too.
Theres all this talk about waiting for AM2, but even when it does come out this summer, I highly doubt that it'll be cheap like the 939 hardware right now, so itll be even more months perhaps of waiting after that...and besides wouldn't you want the AM2 to mature a bit before jumping into something entirely new? When you do decide going AM2, there will be a lot more better and cheaper chips available for it than what was released at launch. And as everyone has stated, please get 2 gigs of ram (those OCZ Platinum are great, might check out the Golds too or even the PC4000 Platinums), games like FEAR will probably cause some bottleneck issues.
Everything in your wanted rig looks fine, you should be using that sytem for quite some time with maybe a video card upgrade being the earliest upgrade down the road.
