CPU overheating BSOD-CPU under 45 degrees!

So, ever since I built my new computer (it's only a few months old), I've been having a problem. When full-screen games (IE, XIII, America's Army...) are minimized, if I try to do anything with them (IE, restore, end task, end process, close) , I BSOD with the message saying something like "IRQL_NOT_LESS_THAN_OR_EQUAL", I don't remember what it is exactly. I've checked mobo/CPU temps after the BSOD, and found the CPU around 38-43 degrees usually and the mobo in the high 20s/low 30s. I have a slight mess of cables in my case, but nothing major, and I run a 120mm fan for intake, and 3 80 mm fans for exhaust. Here are my specs:
A64 3200+
cooling system above
E-Power PSU, 450 watt
MSI GeForce 6600GT
Asus A8N SLI Deluxe mobo
2 512 sticks of dual channel corsair RAM

So, what could possibly be going on?

Edit: Interesting, Doom 3 minimizing/restoring does not lead to a BSOD.
 
run memtest
update bios
do clean install of drivers
make sure you installed service packs/critical updates/drivers in correct order.
make sure your psu is quality (don't know e-power off the top of my head)
bump dimm voltage up to 2.6 Volts
loosen ram timings.
 
I have this same problem and use a similar setup: A64 3000+, GeForce 6600 GT. I think it is a problem with the games or DirectX because my machine is stable otherwise. It only occurs for me in URU, but not FarCry or Doom3.
 
- Run Memtest all night to make sure the RAM is stable
- Your video card could be overheating. Adequate cooling? Try leaving the case cover off.
- Are you overclocking ANYTHING? If so, clock it normal and see if it helps.
