Cpu going bad?

Tried to fire up my sytem today and got a CPU failed message
i have been getting ramdom lockups about 1 every week and half or so
when it locks up after sitting for awhile the screen show video curruption
thought it might be vid card but i popped in an old Gforce 3 card and had same issuses

system has been running for over a year now with no issues ( Built 11-04)

sometimes the system will boot other times is does not
doesnt matter if its a cold or warm boot

bios updated in sept or around then so there i dont think there are issuse there
no recent hardware upgrades either
system is clean no virus /malware
all fans turn

can a CPU fail slowly/intermitently?

cant run memtest either system locks up pretty regular now

thoughts ? ideas? VooDoo magic?
my specs are below

Are you overclocking?

What are your CPU temps?

It could be an overheating problem, maybe the HSF has come loose or the fan has stoped spinning. Or the heat sink has become clogged with dust?

this happens to me sometimes with this board. pull out the 4pin plug above the cpu, and shove it in. see if that does it. what bios are you using? what core is the cpu, winchester, venice?

no overclocking
HSF had some dust btu i dont think its a heat problem
cpu temps are 42C / 108F

core is newcastle 939 3500+
voltages are
cpu core1.49v
+3.3- 3.20
+5- 5.05
+12- 11.90

all fans are spinning

bios are fron 5-05 i believe they are 1009 but i am going to update to 1017

Have updated to newest bios
no apparent effect yet
but my system seems to have stabilized before the bios update

im going to swap out the current PSU ( a 350w Antec )
for a Antec 500w Neo HE

Yes, 350, very likely not enough for that system !!!
