Convert from FAT32 to NTFS problems

quick question. Will converting my hardisk from Fat32 to NTFS in windows XP clear out my hardrive? Or is it a simple conversion that retains all data? Are there more advantages in NTFS than fat32? which is faster? I just clean installed windows XP and its booting up real slow for some reason.

40 gig WD caviar 7200
maxtor 5400 20 gig
512 pc2100 DDR
HP Cd-rw series 8000 (i know i should change this :))

Nope, it won´t. As always though; having a recent backup is always recommended.

Several advantages. The most obvious is the ability to add security to files and folders.

I don´t think that you will be able to tell any difference, it can be faster under NTFS in some conditions... I don´t think your long boot-time can be blamed on the filesystem. Maybe your NIC is waiting for an ip adress from a nonexisting DHCP server?
