Compaq Windows 98 -> Windows XP

I bought a Compaq several years ago, and after many problems with the installed version of Windows 98 SE, I "borrowed" a friend's Windows XP. My computer has since run fine. But, I'm in the process now of building a new computer from scratch. Can I just buy an upgrade CD key? There is a Windows 98 SE sticker behind my old comp with a CD key on it. Can I go through my university (UC Berkeley) and upgrade? The Windows website is such a beeyotch about it. I'm tired of all these Windows security flaws and bugs, so I just want to start from scratch with a new PC and not dick around. AND BE ABLE TO INSTALL SP2.
